What is Patent Assignment?
Patent assignment is the legal transfer of ownership of a patent or patent application from one party (the assignor) to another party (the assignee). Following a valid assignment, the assignee becomes the owner of the patent rights to the extent specified in the Assignment agreement and may exercise those rights in accordance with the law.
The assignment may relate to a granted patent, a pending patent application, or even a share in a patent. Depending on the agreement, ownership may be transferred completely or partially, and the Assignment may apply to the entire territory of India or to specified rights, subject to applicable legal provisions.

Who Can Assign a Patent?
Generally, the following persons or entities may assign a patent or patent application, subject to applicable legal rights and contractual arrangements:

Types of Patent Assignment
Patent Assignments may be structured in different ways depending on the commercial objectives of the parties and the extent of rights being transferred.
1. Complete Assignment
In a complete assignment, the assignor transfers all ownership rights relating to the patent or patent application to the assignee. After the transfer, the assignee generally becomes the new owner and may exercise all rights associated with the patent, including enforcement, licensing, Assignment, and commercialization, subject to the terms of the agreement.
2. Partial Assignment
A partial Assignment transfers only specified rights relating to the patent. For example, ownership may be transferred only in respect of certain technologies, business segments, territories, or commercial rights, while the assignor retains the remaining rights.
3. Assignment of Patent Application
Ownership may also be transferred before the patent is granted. In such cases, the assignor transfers rights in the pending patent application, allowing the assignee to continue the patent prosecution process before the Indian Patent Office.
Patent Assignment Process in India
Step 1: Identify the Patent or Patent Application
The parties first identify the patent or patent application that is proposed to be transferred. Details such as the patent number, application number, title of the invention, inventors, and ownership information are verified before proceeding.
Step 2: Prepare the Patent Assignment Agreement
A written patent assignment agreement is prepared setting out the complete terms and conditions governing the transfer. The agreement generally specifies the parties, consideration, scope of rights transferred, obligations of each party, representations, warranties, and effective date of the Assignment.
Under Section 68 of the Patents Act, an Assignment is valid only when it is in writing and duly executed by the parties concerned.
Step 3: Execute the Assignment
The assignor and assignee execute the Assignment agreement in accordance with applicable legal requirements. Supporting documents and authorizations may also be prepared where necessary.
Step 4: Record the Assignment with the Patent Office
After execution, the parties may apply to record the assignment before the Indian Patent Office by submitting the prescribed forms and supporting documents. Recording the Assignment updates the official patent records and reflects the assignee as the new owner, subject to the Controller's acceptance of the request.
